These Portal Terms of Use (“Portal Terms”) govern your access to and use of the Davis Digital Studio client portal and any related admin or project tools (the “Portal”), operated by Davis Digital Studio (“we,” “us,” “our”). They are in addition to your signed Project Agreement and our site Terms of Service and Privacy Policy. By logging into the Portal, you agree to these Portal Terms. If you do not agree, do not use the Portal.

1. Your Account & Security

You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. You agree to use a strong, unique password, to not share your credentials, and to notify us promptly at eric@davisdigitalstudio.com if you suspect unauthorized access. We are not responsible for loss or damage arising from your failure to protect your account.

2. Acceptable Use

You agree to use the Portal only for legitimate project communication, file exchange, approvals, and account management related to your engagement. You agree not to:

We may suspend or revoke Portal access for any violation, or where we reasonably believe access poses a security or legal risk.

3. File Uploads & Content

You retain ownership of files and content you upload. By uploading, you confirm you own or have the rights to that content and that it does not infringe any third party’s rights. You grant us a limited license to store, process, and use that content solely to deliver your project. We may remove content that violates these Portal Terms.

4. Data Ownership

You own your project data and the content you provide. We own the Portal software, its design, code, audit logs, and operational records. Deliverables created for your project transfer to you on full payment as set out in your Project Agreement.

5. Availability & “As-Is” Service

The Portal is provided on an “as-is” and “as-available” basis. It relies on third-party infrastructure (including Supabase and Netlify), and we do not guarantee uninterrupted or error-free availability. We are not liable for downtime, delays, or data loss caused by third-party providers, internet failures, or events beyond our reasonable control.

6. Backups & Your Records

While we take reasonable measures to safeguard Portal data, you are responsible for keeping your own copies of important files and approvals. The Portal is a working tool for the duration of your project, not a permanent archive or system of record for your business.

7. Admin Access & Logging

As the Portal operator, our admin accounts can view, manage, and act on project data to deliver services and provide support. Portal activity may be logged for security, troubleshooting, and audit purposes. We handle your information as described in our Privacy Policy.

8. Offboarding & Data Deletion

When your project ends, we may, after a reasonable handoff period, archive or deactivate your Portal access. We retain project data consistent with our Privacy Policy retention schedule (generally up to one year after project completion) unless you request earlier deletion in writing. After deletion, we cannot recover the data.

9. Limitation of Liability

To the maximum extent permitted by law, our total liability arising from your use of the Portal shall not exceed the fees paid for the project to which the Portal relates. We are not liable for indirect, incidental, special, or consequential damages, including lost data, lost profits, or business interruption, arising from Portal use or unavailability.

10. Changes

We may update these Portal Terms from time to time. Continued use of the Portal after an update constitutes acceptance. Material changes will be communicated through the Portal or by email.
